Terms of Service

These terms are the agreement between Zylair Ltd and the organisation that subscribes to Parts Requester. By signing up, starting a trial or using the service, you agree to them. If you are agreeing on behalf of an organisation, you confirm you have authority to do so.

2. The Service

Parts Requester lets teams raise and track parts, tool and PPE requests, add photos and comments, follow status changes, and view spend and reporting. We may improve, change or remove features over time. We will not make a material reduction to the core function of a paid plan during a paid term without a fair alternative.

Parts Requester is an operational tool for organising requests. It is not a safety, compliance or procurement approval system, and AI suggestions are assistive only. See sections 6 and 10.

3. Accounts and access

The Customer is responsible for its Users, for keeping login details secure, and for all activity under its account. Tell us promptly if you think an account has been compromised. A site plan includes every User at that site with no per-user limit, but single logins must not be shared across multiple people.

4. Plans, trials and payment

What counts as a site. A site is one physical address with its own spares holding. Two buildings on one campus sharing a single stores count as one site. Two separate addresses count as two sites, even under one company.

Prices are in GBP. Zylair is not currently registered for VAT, so no VAT is added at present; if that changes we will show VAT separately. Subscriptions are billed in advance through our payment provider, Stripe, and renew automatically each period until cancelled. Card payment is the default; annual plans may instead pay by invoice against a purchase order. If a payment fails we may suspend access until it is resolved.

Annual price review. List prices may rise by up to 5% at each annual renewal, on at least 30 days' notice before your renewal date. Founding Partner rates are exempt from this review and remain fixed for as long as the subscription runs continuously.

5. Cancellation and refunds

Month-one guarantee. If the Service isn't working for your team, tell us within your first paid month and we will refund that month in full and export your data. On an annual plan taken from the outset, we refund the full first-year payment, not one month of it. We aim to action this within 48 hours, export included.

You can cancel at any time from your account settings or by emailing us. Monthly plans cancel at the end of the current billing period, and you keep access until then. Annual plans are not refunded on a pro-rata basis after the first month, because the month-one guarantee already covers an early exit. A move from annual to monthly billing takes effect at renewal. Otherwise, fees already paid are non refundable except where the law requires. We do not charge an exit fee.

6. AI features

The Service includes AI features, including the "What is this?" part identification and a daily stores brief. These use a third party AI provider and produce suggestions only. Output can be inaccurate or incomplete and must be checked by a competent person before you rely on it. We are not liable for decisions made solely on AI output.

We may suspend access to protect the Service, other customers or the public, and will restore it once the issue is resolved where we reasonably can.

8. Customer Data and privacy

You own your Customer Data. You grant us the rights we need to host and process it to provide the Service. You are responsible for having a lawful basis to collect and use the data you put in, including any personal data about your staff. How we handle personal data is set out in our Privacy Policy and, for data we process on your behalf, our Data Processing Addendum, which forms part of these terms.

9. Our intellectual property

We and our licensors own the Service, its software, branding and content, other than Customer Data. Nothing in these terms transfers that ownership to you. You get a non exclusive, non transferable right to use the Service during your subscription.

10. Availability and warranties

We work to keep the Service available and reliable, but we do not promise it will be uninterrupted or error free, and we do not currently offer a formal uptime guarantee. The Service is provided "as is" and, to the extent the law allows, we exclude implied warranties. This does not affect your statutory rights.

11. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything that cannot be limited by law.

Subject to that, we are not liable for indirect or consequential loss, or for loss of profit, revenue, data or goodwill. Our total liability to you in any 12 month period is limited to the fees you paid us for the Service in that period. You are responsible for keeping your own records of business critical information.

12. Term and termination

These terms apply for as long as you use the Service. Either party may end the agreement if the other commits a serious breach that is not put right within 30 days of written notice. On termination your right to use the Service ends and we handle your data as set out in the Privacy Policy and Data Processing Addendum.

13. Changes to these terms

We may update these terms from time to time. For significant changes we will give reasonable notice. If you keep using the Service after a change takes effect, you accept the updated terms.

14. Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, unless local law says otherwise for consumers.
